The Software being licensed to you by Swapsdata Limited of 18 Soho Square, London, W1D 3QL, United Kingdom ('Swapsdata') is made available on a temporary basis for evaluation only. This Software is made available for the benefit of you acting in your capacity as a business user and by accepting these terms and conditions you confirm that you are not acting as a consumer. DEFINITIONS 'Evaluation Period' means a thirty day period from the downloading of the software; 'Purpose' means the limited purpose of evaluating the performance and functionality of the Software; 'Software' means the pre-release version of SwapsValue and in object code form only. 1. Licence Swapsdata owns and retains all right, title and interest in the Software including the copyright, trade marks and all other intellectual property rights in and relating to the Software. In consideration of your compliance with the terms and conditions of this Evaluation Licence, Swapsdata grants to you, a limited, non-exclusive, non-transferable licence to use the Software for the Purpose for the Evaluation Period. 2. Permitted Use You may,: (a) load the Software into and use it on a single computer which is under your control; and (b) copy the Software for back-up and archival purposes and make up to two copies of the documentation (if any) accompanying the Software, provided that the original and each copy is kept in your possession and that your installation and use of the Software is for the Purpose only and such use does not exceed the Evaluation Period. 3. Restrictions and Use You may not: (a) load the Software into two or more computers at the same time. If you wish to transfer the Software from one computer to another, you must erase the Software from the first hard drive before your install it on to a second hard drive; (b) sub-licence, assign, rent, lease or transfer the licence or the Software or make or distribute copies of the Software; (c) translate, reverse engineer, decompile, disassemble, modify or create derivative works based on the Software except as permitted by law; (d) make copies of the Software, except for back-up or archival purposes as permitted hereunder; (e) use any back-up copy of the Software (or allow anyone else to use such copies) for any purpose other than to replace the original copy in the event that it is destroyed or becomes defective; (f) copy the written materials (except as provided by this Agreement) accompanying the Software; or (g) use the Software in any manner or for any purpose other than Purpose and in particular not to use the Software in a live environment for the processing of live transactions; (h) remove, modify or otherwise tamper with Swapsdata proprietary notices on the Software. 4. Warranty Disclaimer As the Software is being provided for evaluation only, you acknowledge that the Software is provided on an 'as-is' basis and to the maximum extent permissible by law, Swapsdata shall have no liability to you for any loss or damage arising out of or in connection with the Software. Except as stated herein, Swapsdata excludes all warranties, terms, conditions or representations of any kind, either express or implied, whether arising by statute, common law or otherwise, satisfactory quality or fitness for any particular purpose and in particular, Swapsdata does not warrant that:- (a) the Software will be compatible with any other software or hardware; (b) the operation of the Software will be error free or uninterrupted; (c) the results you obtain using the Software will be accurate and correct; (d) the Software will meet your requirements. 5. Liability In no event will Swapsdata be liable to you for any loss of use, revenue or profit, lost or damaged data or other commercial or economic loss or for any direct, indirect or consequential losses or damages of whatever nature, even if we have been advised of the possibility of such damages. In particular, Swapsdata excludes liability for the loss of any programs or data made or stored with the Software and for the losses, costs or expense associated with or of recovering or replacing such programs or data. Nothing in this clause limits or excludes liability to you in the event of death or personal injury resulting from the negligence of Swapsdata. 6. Termination The Agreement and licence hereby granted to use the Software automatically terminates upon expiry of the Evaluation Period. You acknowledge that the Software contains a program to ensure that it cannot be used after the Evaluation Period. When loaded to your desktop the Software uses a combination of a private key and your computers hard drive serial number to create a unique product key for your copy of the Software. This information is collected via our website when you submit the product key during the registration process and an activation code is then generated by Swapsdata. Since the product key is unique to your computer it means the activation code will only work when the application is used on your computer computer. Once the activation code is issued the Software will only be functional from that date until the expiry of the Evaluation Period. By accepting these terms and conditionsyou agree to thisautomatic cessation of the operation of the Software upon expiry of the Evaluation Period. Swapsdata may terminate the Agreement immediately upon notice if you fail to comply with any provisions of this Agreement. In the event of termination or expiry of this Licence you stop using the Software and you must destroy or delete and return to us all copies of the Software from all storage media within your possession. 7. Confidentiality The Software contains confidential information and you agree not to disclose such information to any third party without the prior written consent of Swapsdata. 8. Export Controls You agree that you will not directly or indirectly transfer the Software to any country to which such transfer would be prohibited by any applicable export control laws or regulations. 9. General If any provision of this Agreement is declared by any judicial or any competent authority to be void, voidable, illegal or otherwise unenforceable or indications of the same are received, we shall amend that provision in such reasonable manner as necessary to achieve the intention of the parties without illegality or at our discretion, such provision may be severed from this Agreement and the remaining provisions of the Agreement shall remain in full force and effect. You have read and understand this Agreement and agree that it constitutes the complete and exclusive statement of the Agreement between us with respect to the subject matter hereof, supersedes all proposals, representations, understandings and prior agreements, whether written or oral, and all other communications between us relating thereto. No change or modification of this Agreement will be valid unless it is in writing and is signed by Swapsdata. This Agreement is personal to you and you may not assign, transfer, sub-contract or otherwise part with this Agreement or any right or obligation under it without our prior written consent. This Agreement all matters arising from it are governed by and construed in accordance with the laws of England whose courts shall have non-exclusive jurisdiction over all disputes arising in connection with this Agreement.
